Terms of Service

OVERCHAIN – TERMS OF SERVICE (Customers / Retail Widget)

1. Introduction 

1.1. Who We Are. Overchain (“we,” “us,” “our”) is a crypto asset service provider. We provide the technology that enables merchants (“Merchants”) to receive crypto asset payments from their customers (you, the “User”). 

1.2. Purpose of These Terms of Service. These Terms of Service (“Terms”) explain your rights and obligations when you sign up to use our service through a widget, link, or any other interface we provide. By creating an account or otherwise using our services, you agree to be bound by these Terms. If you do not agree, you must not create an account or use our services. 

1.3. Separate from Merchant Terms. These Terms apply only to you as a User paying a Merchant via Overchain. If you are also a Merchant, please refer to our Merchant Terms of Service. 

1.4. In this context, 

Merchant: A business that sells its goods and services to its customers through online platforms. 

Users: refers to the merchants’ customers, including both retail customers and corporate clients. 

Profile or online profile: refers to a digital representation of a user both (retail or a business) that has been verified for merchant transactions. 

Access: refers to connecting to Overchains’ payment rails to deposit crypto assets for a merchant’s products and services. 

2. Eligibility and Account Creation 

2.1. Minimum Age. You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account and use our services. By creating an account, you represent that you meet this requirement. 

2.2. Account Setup. 

  • To pay a Merchant through Overchain, you may be prompted to Sign Up or Log In. 
  • Sign Up requires submitting a valid email address, verifying it with a One-Time Password (OTP)
  • You must provide your personal details including:
    • For Individual Users – name, surname, date of birth, email address and residence address. 
    • For Corporate Users – company name, trading name, registration number, incorporation date, address, nature of business/industry.  
  • Individual Users might also need to complete a short identity verification process (Know Your Customer) with our third-party service provider, which involves uploading a valid government-issued ID, performing a facial scan.
  • Corporate Users might also need to provide corporate documents (Know Your Business), covering the following: 
    • Company details 
    • Legal presence 
    • Ownership structure 
    • Control structure. 

2.3. Accurate Information. You confirm that all information you provide (e.g., name, email, identification documents) is accurate, complete, and up to date. If any information changes, you agree to update it promptly. 

2.4. Security. You are responsible for maintaining the confidentiality of your login details (email, OTPs). All activity under your access is your responsibility. If you suspect unauthorised use, please contact us immediately at support@overchain.io

3. KYC/ KYB/ AML Compliance 

3.1. Identity Checks. We comply with anti-money laundering (“AML”), anti-terrorism financing (“ATF”), and other applicable regulations. We may ask for additional information or documentation from you at any time to satisfy these requirements. Failure to comply may result in suspension or termination of your account. 

3.2. Third-Party Services. Our verification process is performed by SumSub. By signing up, you agree to share personal information necessary for identity verification. 

3.3. Sanctions and Restrictions. Overchain may refuse service, suspend, or terminate your access if we determine you or your transactions violate any AML/CTF regulations, economic sanctions, or other applicable laws. 

4. Using Overchain to Pay a Merchant 

4.1. Purpose of Overchain. Overchain provides a secure method for you to deposit crypto assets as payment for goods or services offered by a Merchant. 

4.2. Payment Flow. 

  • After you sign up, Overchain will provide wallet details (e.g., a widget on the Merchant’s checkout page or a unique deposit link) for you to send the crypto asset payment to. 
  • Once the transaction is confirmed on the relevant blockchain, Overchain processes the payment on behalf of the user to the Merchant. 

4.3. No Custodial Wallet. 

  • Overchain may generate a wallet address for your transaction, but we do not create you a general-purpose custodial wallet
  • Your account with Overchain is primarily used for verifying your identity and facilitating crypto asset payments to Merchants. It does not give you broader rights to store, transfer, withdraw, trade, or otherwise manage cryptocurrency except as needed to complete the payment to the Merchant. 

5. Fees and Refunds 

5.1. Network Fees. Transactions on blockchain networks often incur “miner” or “gas” fees. These fees are beyond Overchain’s control and are the users responsibility. 

5.2. No Overchain Refunds. Once your crypto payment is broadcast to the blockchain, it generally cannot be reversed. Overchain does not control the Merchant’s refund policies. If you have questions about refunds for the underlying product or service, please contact the Merchant directly. 

6. Risks and Disclaimers 

6.1. Cryptocurrency Volatility. The value of cryptocurrencies can be highly volatile. Overchain is not liable for any change in the exchange rate between the time you initiate a payment and the time it is confirmed on the blockchain. 

6.2. Transaction Irreversibility. Cryptocurrency transactions, once confirmed, are typically irreversible. Make sure all wallet addresses and amounts are correct before sending payment. Overchain is not responsible for misdirected payments due to your errors (e.g., sending to the wrong wallet address). 

6.3. No Financial Advice. Overchain does not provide investment, financial, or legal advice. Any content on our website or widget is for informational purposes only. You should consult your own professional advisors if you have questions about the legal, tax, or financial implications of using our services. 

6.4. No Endorsement of Merchants. Overchain’s role is strictly as a payment facilitator. We do not endorse or guarantee the quality, legality, or suitability of products/services offered by any Merchant. Any disputes regarding goods or services must be resolved directly with the Merchant

7. Privacy 

7.1. Your Data. We process your personal data in accordance with our Canadian Privacy Policy and applicable laws. By signing up and using Overchain, you consent to the collection, use, and sharing of your data for identity verification and service provision. 

7.2. Third-Party Sharing. Where necessary, we may share your data (e.g., name, ID, transaction details etc.) with: 

  • KYC/AML service providers 
  • Blockchain analytics providers  
  • Payment service partners (to process transactions) 
  • Government or regulatory authorities, if legally required 

8. Prohibited Use 

8.1. Illegal Activities. You must not use Overchain for unlawful activities, including money laundering, terrorist financing, fraud, or other prohibited transactions under local or international laws. 

8.2. Sanctions. You represent that you are not located in, under the control of, or a national/resident of any restricted jurisdiction subject to sanctions or embargoes, and that your name does not appear on any sanctions list (including OFAC, UN, EU, etc.). 

8.3. Breach. If we suspect you of violating these Terms or using Overchain for prohibited purposes, we may immediately suspend or deactivate your access to our payment rails without notice and/or report you to relevant authorities. 

9. Limitation of Liability 

9.1. Service “As Is.” Overchain provides its services on an “as is” and “as available” basis without warranties or guarantees of any kind, express or implied. 

9.2. No Liability for Merchant or Blockchain Issues. Overchain is not liable for: 

  • The Merchant’s actions, including how they handle refunds, returns, or disputes. 
  • Failures or delays of blockchain networks. 
  • Losses resulting from your mistakes (e.g., sending crypto assets to the wrong address). 

9.3. Limitation. To the maximum extent permitted by law, Overchain’s total liability to a user, under any theory of liability, will not exceed the total fees paid by you to Overchain in the 3 months preceding the event giving rise to a claim. 

10. Suspension and Termination 

10.1. Termination by You. You may stop using Overchain at any time. If you wish to delete your access, please contact us at support@overchain.io

10.2. Termination by Overchain. We may suspend or terminate your access to our services at any time if: 

  • You breach these Terms. 
  • We believe your profile is associated with fraudulent or illegal activity. 
  • We must comply with a legal or regulatory requirement. 

10.3. Effect of Termination. Upon termination, you will no longer be able to use Overchain for crypto asset payments.  We may, however, retain certain user records for a period of 5 (five) years, in accordance with data retention laws or regulations (e.g., AML/ATF requirements). 

11. Modifications 

11.1. Updates to Terms. We may update or change these terms from time to time. We will notify you by email or via our website/widget at least 30 days before changes take effect, unless a shorter period is required by law. 

11.2. Acceptance of Updates. If you continue using Overchain after any updates to these terms become effective, you agree to be bound by the updated Terms. 

12. Miscellaneous 

12.1. Governing Law. These terms are governed by the laws of Canada (unless where local consumer law mandates otherwise). Any disputes shall be brought in the competent courts of Canada, unless otherwise required by consumer protection laws. 

12.2. Entire Agreement. These Terms, together with our Privacy Policy and any additional agreements explicitly referenced, form the entire agreement between you and Overchain regarding use of our services. 

12.3. No Waiver. Our failure to exercise or enforce any right under these Terms shall not operate as a waiver of that right. 

12.4. Severability. If any provision of these terms is found unenforceable, the rest will remain in full effect.

12.6. Complaints. If you are dissatisfied with the services provided or believe your rights as a consumer have been violated, you may contact us at support@overchain.io. If we are unable to resolve your complaint, you may also contact the relevant regulatory authority in your jurisdiction. 

By clicking “Sign Up” or otherwise creating an account and using Overchain’s services, you confirm that you have read, understood, and agree to these Terms of Service.
